Our Corporate Structure

iPump.org, Inc., a California Public Benefits Corporation, is a volunteer-based, charitable organization that was incorporated in June of 2006 in San Bernardino County, California.

iPump is governed by a board of directors and was founded for the purpose of providing assistance to qualifying persons with diabetes who may not otherwise be able to afford the cost of their medical care, medications and diabetes supplies.

iPump is a tax-exempt, 501(c)(3) nonprofit public charity.

Inspection of Our Bylaws

Per California law, the Bylaws for iPump.org are available for public inspection during normal business hours by appointment only.  You may also obtain a copy of our founding documents by contacting the California Attorney General.

The following is an excerpt from our adopted Bylaws that offers more information about the nature of our organization -- specifically our purpose and protection against any person profiting from the proceeds of iPump.org, Inc. (your donations go to help others in need, not to make anyone rich):

ARTICLE 2.  PURPOSES

Section 1.  Objectives and Purposes

The primary objectives and purposes of this Corporation shall be:

    (a)  Financial Assistance.  To aid qualifying, underinsured patients with diabetes mellitus (insulin-dependent type 1 or type 2 diabetes), with the purchase of an insulin pump, when prescribed by their doctor, but otherwise unaffordable to the patient; to offer free diabetes supplies to qualifying diabetic persons in need; and to offer financial assistance for the purchase or reimbursement of prescription diabetes medications to qualifying diabetic persons in need.

    (b)  Fundraising.  The Board of Directors shall be considered a fundraising board. Additionally, the Chief Executive Officer (CEO), under the guidance of the Board of Directors, shall seek private, government, and public funding to support the Corporation’s programs and objectives, and shall work with insulin pump manufacturers to obtain direct donations of insulin pumps, at- or low-cost insulin pumps, and to refurbish used insulin pumps donated from the public, that will be distributed to qualifying, underinsured, insulin-dependent persons with diabetes type 1 or type 2.

    (c)  Advocacy, Education and Support.  The Corporation shall provide diabetes information and support to patients, health professionals, diabetes educators, and caregivers through the corporate website and online and printed publications. 

ARTICLE 12. PROHIBITION AGAINST SHARING CORPORATE  PROFITS AND ASSETS

Section 1.   Prohibition against Sharing Corporate Profits and Assets

No member, Director, officer, employee, or other person connected with this Corporation, or any private individual, shall receive at any time any of the net earnings or pecuniary profit from the operations of the Corporation, provided, however, that this provision shall not prevent payment to any such person of reasonable compensation for services performed for the Corporation in effecting any of its public or charitable purposes, provided that such compensation is otherwise permitted by these Bylaws and is fixed by resolution of the Board of Directors; and no such person or persons shall be entitled to share in the distribution of, and shall not receive, any of the corporate assets on dissolution of the Corporation. All members, if any, of the Corporation shall be deemed to have expressly consented and agreed that on such dissolution or winding up of the affairs of the Corporation, whether voluntarily or involuntarily, the assets of the Corporation, after all debts have been satisfied, shall be distributed as required by the Articles of Incorporation of this Corporation and not otherwise.
